Agreement and eligibility

These Terms of Service apply when an organization or person acting for business purposes (“Customer”) accesses or uses Leavecart. By creating an account, accepting an order form, or using the service, Customer agrees to these Terms. The person accepting them confirms authority to bind Customer.

“Leavecart” means the software and related services supplied by Polaround OÜ, registry code 14357013, with its registered address at Raba tn 48, Keila, Harju maakond, 76609, Estonia. An agreed order form or pilot agreement controls if it expressly conflicts with these Terms.

Service

Leavecart helps Shopify merchants identify configured recovery events, conduct merchant-directed shopper conversations through storefront chat and approved messaging channels, apply merchant rules, and report outcomes. Features depend on the connected providers, approved access, and the selected plan.

Sandbox mode uses test data and must not be treated as production. Production messaging remains disabled until the required integrations, sender approvals, consent controls, policies, and launch checks are complete.

Customer responsibilities

Customer must:

  • provide accurate account, store, policy, and billing information;
  • obtain and preserve all legally required consent and evidence for each messaging channel and jurisdiction;
  • maintain lawful sender registration, Shopify permissions, product facts, shipping terms, offer rules, and support processes;
  • review automated behavior, handle escalations, and prevent use that is deceptive, discriminatory, unlawful, or harmful;
  • protect user accounts and provider credentials and notify Leavecart promptly of suspected unauthorized access.

Customer may not use Leavecart to send unsolicited messages, bypass platform or provider policies, process prohibited data, interfere with the service, reverse engineer protected components except where law permits, or resell access without written permission.

Automated output and human review

Automated responses can be incomplete or incorrect. Customer controls the knowledge, rules, offers, audiences, channels, and activation of the service and remains responsible for reviewing outputs appropriate to its risk. Leavecart may require human handling for refunds, complaints, low-confidence replies, or explicit requests for a person. Leavecart does not provide legal, financial, or other professional advice to shoppers.

Fees, taxes, and renewal

The public Launch price is €299 per month, excluding applicable taxes and third-party messaging or AI usage, unless an order form states otherwise. Customer authorizes recurring charges for the subscription term. A trial, when offered, lasts for the stated period.

Paid subscriptions renew for successive periods matching the selected billing cycle until cancelled. Cancellation takes effect at the end of the paid period unless otherwise agreed. Fees are non-refundable except where an order form or mandatory law requires otherwise. Late or failed payment may result in restricted or suspended access.

Customer data and privacy

Customer retains its rights in Customer data and grants Polaround OÜ the limited right to process it to provide, secure, support, and improve the service as permitted by the agreement. The Data Processing Agreement applies when Polaround OÜ processes personal data for Customer. Each party will comply with its own obligations under applicable data protection law.

Ownership and feedback

Polaround OÜ and its licensors own Leavecart, including its software, design, documentation, and service-generated technology. During the subscription, Customer receives a limited, non-exclusive, non-transferable right to use the service for its internal business. Customer may provide feedback, which Polaround OÜ may use without identifying Customer or disclosing confidential information.

Confidentiality

Each party will protect the other party’s non-public business, technical, and commercial information using reasonable care and use it only for the agreement. This obligation does not apply to information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law.

Availability, changes, and suspension

Polaround OÜ will use commercially reasonable efforts to operate the service but does not promise uninterrupted availability unless a signed order form includes a service level. Features may change to improve the product, address security or legal requirements, or reflect provider changes. Material reductions affecting an active paid plan will be communicated where reasonably practicable.

Polaround OÜ may suspend access or messaging to address security risk, unlawful activity, provider restrictions, non-payment, or a material breach. Where practicable, Customer will receive notice and an opportunity to remedy the issue.

Warranties and liability

Each party warrants that it has authority to enter the agreement. Except for express commitments in the agreement and to the maximum extent permitted by law, the service is provided “as is” and implied warranties are excluded. Polaround OÜ is not responsible for third-party platforms, provider outages, Customer instructions, or results that depend on shopper behavior.

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, lost profits, or loss of goodwill. Each party’s aggregate liability arising from the service is limited to fees paid or payable by Customer for Leavecart during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited, or to fraud, wilful misconduct, breach of confidentiality, or Customer’s unlawful messaging or misuse.

Termination

Either party may terminate for a material breach not cured within 30 days after written notice, or immediately where the breach cannot be cured, continued performance would be unlawful, or insolvency law permits. On termination, Customer’s access ends and Customer data will be handled under the DPA. Provisions intended to survive—including fees, ownership, confidentiality, liability, and governing law—remain in effect.

Governing law and contact

These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules. The parties will first attempt to resolve a dispute in good faith. Disputes not resolved through discussion are subject to the courts of Estonia, unless mandatory law requires otherwise.

Notices may be sent through the contact page or to polaroundeesti@gmail.com. Polaround OÜ may update these Terms for legal, security, or service changes. Material changes will be notified to active customers where required, and the updated date will appear on this page.
